7. Payment Terms and Billing

Standard Payment Terms:

  • • All prices exclusive of applicable taxes
  • • Payment methods: bank transfer, corporate check

Project-Based Billing:

  • • 50% deposit required for engagements over S$5,000
  • • Milestone-based payments for longer projects
  • • Travel and material costs billed separately
  • • Scope changes may result in additional fees
  • • Final payment due upon project completion

7.2 Refund and Cancellation Policy

Cancellation Terms:

  • • 48-hour notice required for meeting cancellations
  • • Project cancellation subject to work completed
  • • Deposits are non-refundable after work begins
  • • Pro-rated billing for partially completed projects

Refund Eligibility:

  • • Service delivery fails to meet agreed specifications

8. Termination

Termination for Cause:

8.2 Effects of Termination

  • • Final invoice issued for completed work

  • • Payment obligations
  • • Intellectual property rights
  • • Confidentiality obligations
  • • Limitation of liability
  • • Dispute resolution procedures

9. Dispute Resolution

We are committed to resolving disputes efficiently and fairly through the following escalation process:

Binding arbitration under Singapore International Arbitration Centre rules

Governing Law and Jurisdiction:

  • • International clients consent to Singapore jurisdiction
  • • English language governs interpretation of agreements

10. General Provisions

10.1 Modifications to Terms

Update Process:

  • • Terms may be modified at any time

  • • Material changes highlighted clearly
  • • Effective date specified for all changes

Client Response:

  • • Continued use constitutes acceptance
  • • Right to terminate if disagreeing with changes

10.2 Additional Legal Provisions

Entire Agreement:

These terms, together with service agreements and privacy policy, constitute the complete agreement between parties.

Severability:

If any provision is deemed invalid, remaining provisions continue in full force and effect.

No Waiver:

Failure to enforce any provision does not constitute waiver of rights to enforce it later.

Assignment:

Rights and obligations may not be assigned without written consent, except to affiliated entities.
